1. Agreement to Terms
By accessing or using BoardKit™ products and services ("Services") offered through boardkit.co ("Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
2. Description of Services
BoardKit™ provides digital governance products including document templates, AI-powered governance tools, and consulting services for private companies, startups, and investor-backed organizations. Our Services include:
Core Playbooks — Downloadable governance document templates (one-time purchase). Professional Suite — Expanded template library with ongoing updates (annual subscription). Concierge Onboarding — Customized governance implementation services (engagement-based). AI-Powered Tools — Policy Generator and Board Packet Generator (included with applicable tiers).
3. Purchases and Payment
All purchases are processed through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service in addition to these Terms. All prices are listed in U.S. dollars and are subject to change; however, any price change will not affect orders already completed.
Digital products are delivered electronically to the email address provided at checkout, typically within minutes of purchase confirmation. Professional Suite subscriptions renew annually. You may cancel at any time through your Stripe customer portal; cancellation takes effect at the end of the current billing period.
4. Refund Policy
We offer a full refund on Core Playbooks and Professional Suite purchases within 30 days of purchase, no questions asked. To request a refund, email support@boardkit.co with your order confirmation. Refunds for Concierge engagements are prorated based on work completed at the time of cancellation.
5. Intellectual Property
All BoardKit™ products, templates, content, AI tool outputs, branding, and materials are the intellectual property of BoardKit™ and are protected by applicable copyright and trademark laws.
Upon purchase, you receive a non-exclusive, non-transferable license to use the purchased templates and materials for your organization's internal governance purposes. You may customize templates for your organization's use, distribute completed documents to your board of directors and officers, and create derivative documents based on the templates for internal use.
You may not resell, redistribute, or sublicense BoardKit™ templates or materials; remove BoardKit™ branding or attribution from templates; use purchased materials to create competing governance products; or share login credentials for AI tools with non-authorized users.
6. AI-Generated Content Disclaimer
BoardKit™ AI tools (Policy Generator, Board Packet Generator) produce content using artificial intelligence. AI-generated content is a professional starting point, not legal advice. All AI-generated policies, board packets, and documents should be reviewed by qualified legal counsel before adoption.
Use of BoardKit™ products does not create an attorney-client, fiduciary, or professional advisory relationship. You are responsible for reviewing, customizing, and validating all outputs for accuracy, legal compliance, and appropriateness for your organization. BoardKit™ does not warrant that AI-generated documents comply with any specific jurisdiction's laws or regulations.
7. Limitation of Liability
To the maximum extent permitted by law, BoardKit™ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use or inability to use the Services, any governance decisions made based on BoardKit™ materials, unauthorized access to or alteration of your data, or any third-party conduct on the Services.
Our total liability for all claims related to the Services shall not exceed the amount you paid to BoardKit™ in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless BoardKit™ from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered customers. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
